Terms of Service

These Terms of Service ("Terms") govern your use of massachusettsregisteredagent.co (the "Site") and the resident agent services (the "Services") offered by Massachusetts Registered Agent.co ("we," "us," or "our"). By accessing the Site or enrolling in Services, you agree to these Terms.

1. Description of Services

Massachusetts Registered Agent.co provides resident agent services in Massachusetts, consisting of:

• Maintaining a physical Massachusetts street address as your registered office on file with the Secretary of State
• Accepting service of process, legal notices, and state correspondence at that address
• Scanning received documents and delivering them electronically through a secure portal
• Sending compliance reminders for annual reports and other filing deadlines
• Providing online access to historical document records

We provide resident agent services exclusively. We do not provide legal advice, tax guidance, entity formation services, or legal representation.

2. Eligibility

You must be at least 18 years of age and authorized to act on behalf of the business entity being registered. All enrollment information must be accurate and current.

3. Pricing and Payment

• Service costs $99 per year
• Service terms begin on enrollment and renew annually unless cancelled
• Payment is due at enrollment and upon each annual renewal
• Accepted payment methods are displayed during the enrollment process
• Price changes require 30 days written notice prior to your renewal date

4. Client Responsibilities

You agree to:

• Provide accurate and current entity and contact information
• Notify us promptly of changes to entity name, address, officers, or contact details
• Retrieve forwarded documents and act on them in a timely manner
• Maintain your entity in good standing with the Massachusetts Secretary of State
• Use our address exclusively for resident agent purposes, not as a general business or mailing address

5. Document Handling

• Documents are accepted at our Massachusetts address during business hours (Mon-Fri, 9am-5pm ET)
• Received documents are scanned and uploaded to your portal, typically the same business day
• We do not interpret, act upon, or assume responsibility for the content of any documents
• Physical originals are retained for a reasonable period, then securely destroyed
• We do not open sealed documents beyond what is required for scanning

6. No Legal Advice

Massachusetts Registered Agent.co is not a law firm. Our Services do not constitute legal counsel. We do not interpret legal documents, advise on strategy, or represent you. For legal matters, engage a licensed Massachusetts attorney.

7. Limitation of Liability

To the fullest extent permitted by Massachusetts law:

• Our aggregate liability for claims arising from Services shall not exceed fees paid by you in the 12 months preceding any claim
• We are not liable for indirect, incidental, consequential, special, or punitive damages
• We are not liable for delays caused by circumstances beyond reasonable control, including postal failures, natural disasters, or government actions

8. Indemnification

You agree to indemnify, defend, and hold harmless Massachusetts Registered Agent.co, its owners, employees, and agents from claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of Services, violation of these Terms, or failure to maintain entity compliance.

9. Cancellation

• Cancel anytime by emailing support@massachusettsregisteredagent.co
• Cancellation is effective at the end of your current paid term
• Partial-term refunds are not provided except at our sole discretion
• Upon cancellation, you must designate a replacement resident agent with the Massachusetts Secretary of State

10. Service Suspension

We may suspend or terminate Services if:

• Payment is overdue and unresolved after notice
• Materially false information was provided during enrollment
• Our address is used for purposes other than resident agent service
• Continuing service would violate applicable law

11. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts. Disputes shall be resolved in Massachusetts courts of competent jurisdiction.

12. Modifications

We may revise these Terms at any time. Updated Terms take effect upon posting with a new effective date. Continued use of Services constitutes acceptance.

13. Severability

If any provision is found unenforceable, the remaining Terms continue in full force.

14. Entire Agreement

These Terms and our Privacy Policy constitute the complete agreement between you and Massachusetts Registered Agent.co regarding the Services.
